The Chairman of the Board

The duties of the Chairman include monitoring the company’s performance through regular contacts with the CEO and ensuring that the Directors receive the information they require to fulfill their duties. The Chairman leads the work of the Board and ensures that the decisions of the Board are executed in an effective manner.

He or she also ensures that the Board's activities are evaluated on an annual basis and that the Nominating Committee is informed of the results of the evaluations. The Chairman is responsible for preparing the corporate governance report and a report on the organization of internal control in respect of financial reporting and the adequacy of such control in the past financial year.
